GoldSpring, Inc. Enters Into Ten Year Mining Lease for Its Big Mike Copper Mine PrimeZone "PrimeZone "

GOLD HILL, Nev., Sept. 25, 2006 (PRIMEZONE) -- GoldSpring, Inc. (OTCBB:GSPG) announced today that it has entered into a ten year lease with a local company, controlled by a former GoldSpring director, for a 10 year lease of all of its mining claims for its Big Mike copper mine. The lease calls for a $50,000 initial payment, which is scheduled to be made at the beginning of this week to cover royalty payments due for the first two years of the lease term. Additionally, the lessee must pay GoldSpring $75,000 when a production permit is awarded, and $125,000 when commercial mining commences. Additionally, the lessee agrees to a work expenditure of $300,000 for environmental and engineering matters in the first twelve months of the lease. During the term of the lease, Gold spring will also receive a production royalty of between 3% and 5% of net returns from copper mining, dependent on the price of copper.
In discussing the new lease arrangement, GoldSpring's CEO, Rob Faber, stated: "The Big Mike Lease is a great deal for the Company as it allows us to generate cash flow from our Big Mike copper mine without utilizing resources and taking away focus from our main business, gold mining. The payment structure yields an initial cash payment, in addition to the potential of adding $300,000 worth of engineering and environmental work in the first twelve months and $200,000 in cash between now and the beginning of actual production. We also have several other transactions in process at least one of which we hope to consummate in the near future, adding possible further immediate cash flow, in addition to long term revenue opportunity."

I am in this at .0028. looked like a solid bottom. Had after hour news thursday. Now that the lawsuit has been settled, I look for the PR machine to start, JMO.

GoldSpring, Inc. (OTCBB: GSPG) announced today that it has reached a settlement with its former director, Stephen Parent, in connection with two separate lawsuits between the parties pending in state and federal court in Arizona. The parties have agreed that it is in the best interests of the parties, the Company, and its shareholders to bring all litigation and disputes to an end pursuant to the following binding terms: (1) an agreement by the Company that it has accepted the accounting provided by Mr. Parent in the State Court Action; (2) an agreement that none of the parties to the settlement shall be required to pay any monies to the other or to transfer, cancel or redeem any stock of the Company; (3) the Company and Mr. Parent agreed to mutually release each other from any and all claims and liabilities; (4) the dismissal with prejudice of all claims and actions between Parent and GoldSpring presently pending in Arizona state court and federal court; (5) the dismissal with prejudice of the appeal filed by Mr. Parent and pending before the United States Court of Appeals for the Ninth Circuit; (6) an agreement that the settlement shall not be construed as an admission of liability or fault by any party; (7) an agreement by Mr. Parent that the shareholders’ and directors’ consent resolutions dated December 9 and 10, 2004 shall have no legal effect; and (8) an agreement by Mr. Parent that he will not contest or challenge in any way any actions taken by the Company and/or its Board of Directors, including but not limited to the financial restructuring transaction approved by the Board of Directors on November 30, 2004. I'm currently not in this pos but, after reading the 3/29 PR regarding the disposition of the law suit, I'm seriously thinking about jumping in tomorrow morning. Does anybody know how much Parent paid for the 44,612,750 shares he owns, and now that the law suit is settled what are the chances that he'll dump those shares any time soon?

Well, I stuck my baby toe into the water on this one. It seems like a pretty save bet (but then - don't they all - ha!). The deciding factor for me was that I just can't believe these guys kept this thing alive for this long, under such adverse conditions, only to let it tank now. As always, time will tell.

Thanks for the lead you guys! Lets make some $ today.
